Signals Turning Point in Regulatory Crisis, Maintains Lower Dividend Payout

The Australian Securities Exchange (ASX) says it has reached a significant turning point in addressing its regulatory and operational challenges, but will maintain a reduced dividend payout ratio and higher spending forecasts as it continues to overhaul its technology infrastructure.

ASX Chair David Clarke made the announcement on October 22 during the exchange’s annual meeting, following several years of trading outages, settlement delays and regulatory scrutiny linked to a failed technology modernisation programme.

“My clear view is that ASX has reached an important turning point,” Clarke told shareholders.

He added that the progress reflected several years of confronting difficult issues, implementing changes and rebuilding the foundations of the organisation rather than relying on a single decision or appointment.

The exchange’s recovery efforts come after the Australian Securities and Investments Commission (ASIC) ordered it in December 2025 to hold an additional A$150 million in capital and renew its critical market infrastructure.

ASX Maintains Reduced Dividend Payout

Clarke confirmed that the exchange would maintain its dividend payout ratio at 75 per cent of underlying net profit, down from the previous 85 per cent, for at least the interim dividend period in the current financial year.

The reduction was introduced to help ASX meet the additional capital requirements imposed by the regulator.

Some investors have urged the exchange to increase its dividend payout, arguing that it is ahead of schedule in meeting the additional capital requirement.

However, the board has maintained that financial resilience and investment in infrastructure must take priority alongside shareholder returns.

“The board believes that we must achieve the right balance between continuing to provide returns to shareholders, strengthening ASX’s financial resilience and investing in the critical market infrastructure we operate,” Clarke said.

The decision signals that, despite progress in addressing regulatory concerns, the exchange is not yet ready to relax its financial safeguards.

Technology Overhaul Drives Higher Spending Forecasts

ASX Chief Executive Officer Anthony Attia said the exchange expects operating expenses to increase by between 18 per cent and 21 per cent during the current financial year.

Capital expenditure is forecast to reach between A$180 million and A$200 million.

Both forecasts were increased earlier in 2026 to support the continuing overhaul of the exchange’s technology systems and infrastructure.

The investment follows a series of operational problems over the past three years, including trading disruptions and delays in the settlement of transactions.

The difficulties emerged following a failed technology overhaul that triggered regulatory intervention and raised concerns about the reliability of systems underpinning Australia’s financial markets.

The latest spending projections indicate that substantial investment will continue as the exchange works to improve operational stability and restore confidence among regulators, investors and market participants.

Regulatory Pressure Continues to Shape ASX Strategy

ASIC’s requirement for an additional A$150 million in capital forms part of efforts to strengthen the exchange’s ability to manage operational and financial risks.

The regulator’s intervention also requires ASX to renew its infrastructure following concerns about the performance of its technology systems.

For an exchange responsible for facilitating securities trading and settlement, reliable technology is essential to maintaining orderly market operations.

Trading outages can disrupt transactions, while settlement delays may create uncertainty for investors and financial institutions that depend on the exchange’s systems.

ASX’s response has therefore involved more than financial adjustments, with technology investment and organisational changes forming key elements of its recovery strategy.

Clarke said the organisation had made progress through sustained efforts to confront its problems and rebuild essential foundations.

However, the continued increase in operating expenses and capital expenditure highlights the scale of the work still required.

ASX Shares Rise as Australian Market Declines

ASX shares were trading 0.3 per cent higher on October 22, even as Australia’s benchmark S&P/ASX 200 index declined by 0.35 per cent.

The contrasting movements provided a snapshot of the exchange’s share performance against the broader market during the annual meeting.

The decision to maintain the lower dividend payout ratio may remain a point of interest for shareholders seeking stronger near-term returns, while the increased spending forecasts underscore the company’s commitment to infrastructure renewal.

The long-term implications will depend partly on whether the exchange can deliver the technology improvements required to prevent further operational disruptions and satisfy regulatory expectations.

Balancing Shareholder Returns With Market Stability

ASX’s latest position reflects the challenge of balancing investor expectations with the need to strengthen the systems supporting Australia’s financial markets.

Although the chair believes the company has reached an important turning point, the exchange continues to face significant investment commitments and regulatory obligations.

Maintaining the 75 per cent dividend payout ratio allows ASX to retain a greater share of its underlying profits while funding infrastructure improvements and reinforcing its financial position.

The coming financial year will be an important period for assessing whether the exchange’s spending translates into more reliable operations and sustained progress in resolving its regulatory difficulties.

For shareholders and market participants, the key question is whether the ongoing technology overhaul will deliver the operational resilience needed to restore confidence in one of Australia’s most important financial institutions.

The Australian Securities Exchange (ASX) says it has reached a significant turning point in addressing its regulatory and operational
